Scopewright Terms and Conditions

1. Agreement

These terms are an agreement between you and AO, a sole proprietorship operated by Dallas Mayne ("AO", "we") for Scopewright, estimating and proposal software for renovation contractors, with client proposals, e-signature, deposits and progress payments by card, change orders and a public verified-project profile. By creating an account, paying or using Scopewright you agree to them and to our Privacy Policy. If you use it for a business, you confirm you can bind that business.

2. Your account

Keep your sign-in details safe and tell us straight away if you think someone else has used your account. You're responsible for what happens in your account and for the people you invite to it.

3. Prices, billing and taxes

  • Monthly plan (Pro, Close or Close Plus) and any extra team seats, as shown on the pricing page.
  • On card payments collected through Close, a platform fee shown on the billing page before you turn payments on, plus Stripe's own processing fees. Instant payouts carry the fee shown when you request one.

Prices are shown before you pay. Subscriptions renew automatically each month (or year, if you choose yearly) until cancelled. Applicable taxes (GST/HST, US sales tax, VAT) are added where required. Payments are processed by Stripe.

4. Pausing and cancelling

You can cancel at any time from your billing page; the service continues until the end of the period you've paid for and then stops, with no further charges. Where a plan can be paused, billing stops while it's paused. We don't give refunds for partial periods unless the law requires it. If we pause or cancel your account (see section 9) we'll email you with the reason.

5. Acceptable use

  • Don't break the law, including privacy, anti-spam (CASL, CAN-SPAM, TCPA) and consumer protection laws.
  • Don't send messages to people who haven't agreed to hear from you, or keep messaging someone who opted out.
  • Don't upload anything you don't have the right to use, or try to break, overload or reverse-engineer the service.
  • Don't use the service to mislead people (for example fake reviews or false claims).

6. E-signature and your contracts with clients

Proposals you send are your contracts with your clients. You're responsible for their content, prices, taxes, warranties and for any licence you need (in Alberta, a prepaid contractor licence to take deposits on home renovations).

Scopewright records the signature and the signed document; it doesn't give legal advice and isn't a party to your contract.

7. Payments through Stripe Connect

To take card payments you open a Stripe account and accept Stripe's terms. You are the seller: refunds, chargebacks and disputes with your clients are yours to handle, and Stripe may hold or reverse funds under its terms. Our platform fee is not refunded when you refund a client unless the law requires it.

Your data

You own the data you put into Scopewright. You let us use it only to provide and support the service, as described in the Privacy Policy. Where we process your customers' personal information for you, we do so on your instructions and our data processing terms (available on request) apply. You can export or delete it at any time.

AI features

Some features use AI. AI output can be wrong; check it before relying on it. When an AI assistant answers you (for example on a contact form or a phone call), it says so.

Suspension and termination

We may pause or close an account that breaks these terms, puts others at risk or isn't paid, after notice where reasonable. You can close your account at any time.

Disclaimers and liability

The service is provided as is. To the extent the law allows, we aren't liable for indirect or consequential losses (such as lost profits or lost data), and our total liability is limited to the amount you paid us in the 12 months before the claim.

Indemnity

You'll cover our reasonable costs if someone makes a claim against us because of content you uploaded or the way you used the service in breach of these terms or the law.

Governing law

These terms are governed by the laws of Alberta and the federal laws of Canada that apply there, and disputes go to the courts of Alberta.

Changes

We'll email you at least 30 days before a change that affects you materially. If you don't agree, you can cancel before it takes effect.
